NAI Shares Contracting Template to Aid Compliance; Free Webinar March 20

With newly enacted privacy state laws coming into effect in 2023, it is more important than ever for industry leaders to have a clear and comprehensive agreement in place for companies acting as both service providers and third parties.

To help advertising and publisher partners address new contracting requirements in 2023, the NAI has developed a sample contracting template that can be used to amend current business relationship contracts. The NAI State Law Processing Addendum Version 1.0 addresses key issues unique to the digital advertising industry and provides a solid foundation to cover disclosures for advertising-related transactions within the United States. 

The NAI State Law Processing Addendum helps companies comply with the new state laws when transferring data to other entities. The terms are designed to cover both service provider/processor relationships and third-party relationships, so each side of the agreement can be confident that they are meeting their obligations no matter what role they are playing.

The NAI work promotes the health of the online ecosystem. We hope this resource can help create standardization and efficiency in the marketplace by allowing companies to insert provisions from the template into their contracts – saving time and improving compliance.

When using this template, it’s important to keep in mind that these terms are meant to be added to an existing agreement between the parties. They are not intended to cover the full scope of the relationship or impose commercial terms or liability. The terms allow for either party to act as a disclosing party or a receiving party, providing flexibility for more complex data flows, while preserving their existing agreement.

The template can be used to help demonstrate compliance with enacted omnibus consumer privacy laws of California, Colorado, Connecticut, Utah, and Virginia. If other states enact substantively similar laws, the NAI will update the addendum as needed.
